We determine personality types, the doctor’s strengths and areas of concern, the tolerance for risk, business acumen, etc. We check the doctor’s financial history so that we know how much the banks will lend. Serious buyers who meet our qualifications get priority treatment while we make every effort to discourage the “window shoppers.”. However, all buyers are treated with respect and receive timely mailings and invitations to Clemens seminars. Tomorrow’s clients are today’s contacts. All serious buyers sign confidentiality agreements before any information of a confidential manner is released
Similarly, we work intensely with the sellers so that they have a clear understanding of what they have to sell, its real profit, its value, a realistic timetable for various steps of the, transition process, creation of a working transitional agreement, accounts receivable analysis, tax implications, assignable provisions in the office lease, legal responsibilities, etc. We literally guide a seller from start to finish eliminating the mysteries and mitigating the associated headaches. In this manner, the seller is comfortable, saves time and money, and is committed to the sale and is a partner in the transaction.
We carefully gather the pertinent practice management and financial information and prepare our highly regarded proprietary DEMOGRAPHIC ANALYSIS, and PRACTICE GROWTH MODELS and package them for distribution to qualified priority buyers on a confidential basis.
We then schedule an on-site visit to the seller’s with a representative of The Clemens Group and the prospective buyer. Once an offer to purchase is made we do all of the non-legal negotiations and prepare a Memorandum of Understanding. This paves the way to a legal contract. We then help to secure suitable financing through our network of financial sources. We also work with several attorneys who are highly knowledgeable about dental practice transitions—or we can work with your attorney. Either way we are committed to protecting your interests and seeing to it that a successful and effective transition occurs.
